Welcome to planwithclarity.app. This Site, app and/or Service is owned and operated by Zeb Properties, LLC ("planwithclarity.app," "we," or "us" or "Company"). These Terms of Service ("Terms") govern your use of our Site, app and/or service hereafter referred to as "the Site". These Terms include information about usage, licensing, and intellectual property. Please read these Terms carefully. By using the Site, you consent to these legally binding Terms as well as our Privacy Policy and Cookie Policy, which are hereby incorporated.

Consent and Capacity

In order to use our services, you must be at least 18 years of age and a resident of the United States of America. Your use of our Site and services is conditioned on your acceptance of these Terms. If you do not agree with these Terms, please discontinue your use of the Site. By using our services, you warrant that you are entering into a binding contract with Zeb Properties, LLC. Areas of the Site may also be subject to additional terms. Any additional terms are not intended to replace or supersede these Terms, but rather supplement and add to these Terms in those specific areas. Nature of the Site — NOT FINANCIAL, INVESTMENT, SECURITIES, TAX, OR ANY OTHER TYPE OF ADVICE

The Site is an educational and informational retirement planning tool designed to help users visualize potential retirement scenarios and is not intended for use in making investment, securities, tax, legal, or other financial decisions. THE SITE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, SECURITIES, BENEFITS, SOCIAL SECURITY, RETIREMENT, ACCOUNTING, PROFESSIONAL, LEGAL OR ANY OTHER TYPE OF ADVICE.

Outputs generated by the Site, including but not limited to projections, scenario comparisons, Monte Carlo simulations, AI Synopsis, AI Chat responses, and any other analytical or numerical outputs, are illustrative and educational only. They are based on inputs you provide and assumptions that may not reflect your actual circumstances or the future. Past performance is not indicative of future results. Investment markets are inherently uncertain, and no model or simulation can predict actual outcomes.

You should consult qualified, licensed professionals (financial planners, tax advisors, attorneys, accountants, and similar professionals) before making any decisions related to your retirement, investments, taxes, estate, or other financial matters. You assume full responsibility for any actions you take based on outputs from the Site.

Intellectual Property Rights

All content, features, and functionality of the Site (including but not limited to text, graphics, logos, icons, images, audio, video, data compilations, software, code, design, layout, look and feel, and the underlying methodologies and calculations) are the exclusive property of Zeb Properties, LLC or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial use. This license does not include any right to: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, content, or services obtained from the Site; (b) use any data mining, robots, or similar data gathering and extraction methods; (c) reverse engineer, decompile, or disassemble any portion of the Site; (d) frame or mirror any part of the Site; or (e) use the Site for any commercial purpose without our prior written consent.

User Responsibilities

By using the Site, you agree that you will not:

Additional User Responsibilities (AI Features)

The Site may provide AI-powered features, including AI Synopsis and AI Chat. By using these features, you acknowledge and agree that:

Messages submitted to the AI chat may be processed by third-party AI providers and may be subject to their terms of service and/or privacy policies, and you consent to such processing and cross-border transfers as necessary to provide the features. Refer to our Privacy Policy for additional details. You should treat the AI chat as you would any public or semi-public communication and limit your inputs to questions about the scenarios you are evaluating, not identifying details.

We are not responsible for any consequences arising from your decision to submit sensitive information through the AI chat interface, and we have no ability to retrieve or delete such information once it has been transmitted to an AI provider.

TO THE MAXIMUM EXTENT PROVIDED BY APPLICABLE LAW, ZEB PROPERTIES, LLC DOES NOT ACCEPT LIABILITY FOR LOSS OR DAMAGE OF ANY KIND, BE IT DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY, INCIDENTAL, ACTUAL, PUNITIVE, OR OTHERWISE, WHETHER IT ARISES FROM LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, FINANCIAL LOSSES, PERSONAL INJURY, FINANCIAL LOSS, DATA LOSS, OPPORTUNITY LOSS, THIRD-PARTY USE OR MISUSE, AGGREGATE SERVICE, PERSONAL DISSATISFACTION, OR ANY OTHER DAMAGE RESULTING FROM YOUR USE OF THE SITE. THE FULL ASSUMPTION OF RISK AND THEREFORE RESPONSIBILITY LIES WITH YOU, THE USER AND VISITOR. ZEB PROPERTIES, LLC, ITS MANAGERS, MEMBERS, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES, AGENTS, SUBSIDIARIES, ASSIGNORS, ATTORNEYS, AND LICENSORS WILL NOT BE HELD LIABLE IN ANY EVENT. FOR JURISDICTIONS IN WHICH STATUTORY LAW PROHIBITS THE LIMITATION OF CERTAIN TYPES OF LIABILITY RELATED TO THE GROSS NEGLIGENCE OF A PARTY, ZEB PROPERTIES, LLC'S LIABILITY IS LIMITED TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PROVIDED BY APPLICABLE LAW, ZEB PROPERTIES, LLC SHALL NEVER BE LIABLE TO YOU FOR ANY AMOUNT EXCEEDING WHAT YOU HAVE PAID TO US IN THE PAST 12 MONTHS.

Indemnification

You agree to indemnify, defend, and hold harmless Zeb Properties, LLC, its managers, members, directors, shareholders, employees, representatives, agents, subsidiaries, attorneys, assignors, service providers, and licensors from and against any damages, losses, liabilities, lawsuits, disputes, claims, proceedings, demands, costs, or expenses (including reasonable attorney's fees, court costs, mediation and/or arbitration costs and/or expert witness fees) related to or arising from: (a) your use or misuse of the Site; (b) your inputting Personal Information or Financial Information into the Site or any of its features; (c) your reliance on outputs or information received from the Site or any of its features; (d) your breach of these Terms and any other policies incorporated into this agreement; (e) your violation of any applicable statute, law, rule, regulation, code, statutory scheme, common law, or other legal requirement; (f) your content or data, including allegations that it infringes, misappropriates, or violates any rights of a third party; and/or (g) any financial decisions you make based on information or outputs received from the Site or any of its features.

Choice of Law

These Terms and any disputes arising from the use of the Site are governed by and construed according to the law of the state of Texas, without regard to conflict-of-law principles. Each party irrevocably submits to the exclusive jurisdiction and venue of the state courts located in Dallas County, Texas, and waives any objection based on lack of personal jurisdiction or inconvenient forum.

Dispute Resolution

We believe that it is beneficial to all parties to quickly resolve any potential disputes as efficiently and cost-effectively as possible. In line with this belief, you agree that any disputes arising from or relating to the Site and/or your use of the Site will be handled and resolved according to the provisions of these Terms, unless otherwise explicitly stated.

If a dispute arises, you agree to first contact us and attempt to resolve any such issues informally. If informal attempts fail, you agree to submit any claim, dispute, or controversy to the Texas state courts of Dallas County, Texas. For any claim where the total amount in controversy is less than $20,000 (as calculated under Texas Rule of Civil Procedure 500.1(a), as may be amended from time to time), you must bring that claim exclusively in the Justice Courts of Dallas County, Texas. You may not file or prosecute such a claim in any other court, arbitration forum, or tribunal. This requirement applies regardless of the nature of the relief sought, provided that the monetary amount in controversy falls below the $20,000 threshold.

You agree and consent to the exclusive jurisdiction of the courts described above. You waive any objection to such venue, including any objection based on inconvenient forum. Any claim filed in a court of improper jurisdiction under this Section shall be subject to dismissal or transfer, and you shall be responsible for all fees and costs associated with such improper filing.

YOU AGREE TO WAIVE ANY AND ALL RIGHTS TO A JURY TRIAL YOU MAY HAVE IN ANY AND ALL JUDICIAL PROCEDURES AND PROCEEDINGS RELATED TO ANY DISPUTE ARISING FROM YOUR USE OF THE SITE UNDER THESE TERMS.

ALL PARTIES WAIVE THEIR RIGHTS TO PRESENT CLAIMS IN A CLASS ACTION SUIT.

Notwithstanding the foregoing, Zeb Properties, LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm without waiving any rights under this agreement. You agree that any issues arising from or relating to your use of intellectual property prohibited by this agreement causes Zeb Properties, LLC irreparable harm.

Attorney's Fees

If Company is the prevailing party in any legal proceeding, litigation, mediation, or other dispute resolution proceeding arising out of or relating to this Agreement, the Site, or your account, whether brought by Company or by you, you shall pay to Company all of the following fees, costs, and expenses incurred by Company in connection with such proceeding, regardless of the forum in which the claim is resolved: (i) all reasonable attorneys' fees, including fees of outside counsel and any in-house counsel time billed at market rates; (ii) all court costs and filing fees; (iii) all reasonable expert witness fees and costs, including fees for technical, damages, or industry experts retained in connection with the dispute; (iv) all reasonable mediator fees and alternative dispute resolution costs; (v) all reasonable paralegal, law clerk, and legal assistant fees; (vi) all reasonable costs of investigation, evidence gathering, e-discovery, and document review; (vii) all reasonable deposition costs, transcript fees, and court reporter fees; and (viii) all reasonable appellate attorneys' fees and costs, including fees for any interlocutory appeal, mandamus proceeding, or final appellate review.

Definition of Prevailing Party. For purposes of this Section, "Company" shall be deemed the prevailing party if: (i) Company obtains a judgment, award, or court order granting any material portion of the relief it seeks, including that you take nothing; (ii) your claim against Company is dismissed or nonsuited, in whole or in part, whether voluntarily or by court order; (iii) you fail to obtain any affirmative relief against Company; and/or (iv) the proceeding is resolved by settlement and Company's counsel reasonably determines that the outcome is more favorable to Company than the pre-dispute status quo. The parties intend this definition to cover Company acting as either plaintiff or defendant.

Small Claims Proceedings. The parties acknowledge that in a Small Claims or Justice Court proceeding under this section, the nature of the proceeding may limit the type and amount of recoverable fees and costs. To the maximum extent permitted by applicable Texas law and the Texas Rules of Civil Procedure, this section shall apply in such proceedings. To the extent fees are not awardable by the court, you acknowledge and agree that any such non-awardable amounts shall constitute a contractual debt owed to Company, enforceable in a subsequent proceeding in the County or District Courts of Dallas County, Texas if necessary.

Fee Award is in Addition to Other Relief. Any award of fees, costs, and expenses under this section shall be in addition to, and not in lieu of, any other damages, injunctive relief, or other remedies to which Company may be entitled.

Severability

If any portion of these Terms is deemed unenforceable, void, or invalid for any reason, the remaining provisions of these Terms will remain unaffected and will not be considered unenforceable, void, or invalid. They will maintain the full force of law to the extent possible.

Changes to These Terms

We may update these Terms from time to time in our sole discretion. If any updates are made to these Terms, they will be posted here. Additionally, if material changes are made to this policy, we will provide notice on the Site and, where required by law, by email to registered users. Please check this page frequently for updates. Your continued use of the Site, app, and/or service after the effective date of any changes constitutes acceptance of the revised terms.
